Buying shares in a company means that the buyer will also take on all the liabilities of the company. This can include existing contracts, employees, commercial premises and liability in litigation.
It is therefore vital for the buyer to be aware of the up to date legal and financial position of the business.
As well as carrying out due diligence, the buyer will be protected by clauses and warranties (a type of promise) in the share purchase agreement.

Before entering into an agreement to buy shares, the purchaser and their legal team will carry out due diligence enquiries to investigate the state of the business. This includes going through the financial and legal information that has been provided in detail as well as looking at the liabilities and any disputes that the company may be involved in.
The seller and their legal team will be responsible for disclosing relevant and accurate information and responding to any enquiries the buyer raises.
