We can advise you on the legal aspects of refinancing options to ensure that your business enters into the most advantageous agreement. This includes:

  • Asset-Based Refinancing
    Companies may also seek refinancing based on their assets. By using tangible assets like property, equipment, or receivables as collateral, a company may be able to obtain a loan to pay off more pressing obligations. A common example of using receivables may include “invoice factoring”, where a lender agrees to guarantee payment of invoices to a debtor within a short period of time, and will collect and retain the debt as part of the agreement.
  • Debt Refinancing
    This involves negotiating with lenders to restructure existing debt, possibly by consolidating loans, overdraft facilities, or refinancing with lower interest rates. The goal is to ease cash flow constraints while keeping control within the existing company structure.
  • Venture Capital
    This provides funding from investors who may be attracted by the company’s potential for high growth, and they will look for significant returns to justify the risk they are taking.
  • Equity Refinancing
    In this case, the company raises new equity capital by selling shares to new investors which may be to what’s termed “angel investors”. This can provide an infusion of funds that can be used to pay off debt or fund operations, although it dilutes the ownership stake of existing shareholders.
  • Loans From Directors
    The existing directors may want to provide the company with a loan from their own personal assets, or may wish to agree to buy more shares depending on the wording of the company’s “articles of association”.
  • Mortgaging or remortgaging commercial property
    Where the business owns the freehold to their premises they may want to remortgage their property, or sell the freehold and lease back their premises.
  • Pre-Pack Administration
    This is a procedure where the company is viable but it is being burdened with unsustainable liabilities. An example of this is where a chain of shops has 6 shops that are trading viably and 4 that are making a loss. By placing the company into a pre-pack administration it is able to relieve itself of the leases on the troubled shops, and thus, can then trade profitably. The usual procedure is to place the company into administration and to then sell its assets to a new entity, often with the approval of the company’s creditors.
